Vendor Terms and Conditions
How registration, listings, commission, fulfilment, payouts, and enforcement work for stalls on Omega Mart.
These Vendor Terms and Conditions ("Vendor Terms") govern the relationship between Omega Mart, a trade name under which a Mohammadpur, Dhaka, Bangladesh-based sole proprietorship carries on business, and any individual or business that registers as a seller ("Vendor," "Seller," "you") on the Omega Mart marketplace at omegamartbd.com (the "Platform").
By registering as a Vendor, creating a store, or listing a product on the Platform, you agree to be bound by these Vendor Terms, in addition to our general Terms and Conditions and Privacy Policy.
On the Platform's storefront and marketing pages, a Vendor's store may also be referred to as a "stall." The terms "Vendor," "Seller," and "stall" refer to the same thing throughout these Vendor Terms and other Omega Mart policies.
1. Vendor Registration
- To become a Vendor, you must complete the registration process, including providing accurate business/personal information, a valid contact number and email, and any identification or business documentation Omega Mart may request for verification.
- Omega Mart reserves the right to approve, reject, or request additional information for any Vendor application at its sole discretion.
- You must be legally able to sell the products you list under the laws of Bangladesh (e.g., holding any required trade license, import permit, or category-specific authorization).
- You are responsible for keeping your store information, contact details, and payout information accurate and up to date.
2. Store and Product Listings
- You are solely responsible for the accuracy of your product listings, including titles, descriptions, images, pricing, stock levels, and category placement.
- Products must be lawful to sell in Bangladesh and must not infringe on any third party's intellectual property, trademark, or copyright.
- You may not list: counterfeit goods, prohibited or restricted items under Bangladeshi law, hazardous materials without proper authorization, or misleading/false product claims.
- Omega Mart reserves the right to edit, unpublish, or remove any listing that it reasonably believes violates these Vendor Terms, is misleading, or is otherwise inappropriate for the Platform, with notice to you where practicable.
- Product images and descriptions you upload should be your own or properly licensed for use; you are responsible for any IP infringement claims arising from content you upload.
3. Commission
- Omega Mart charges a commission on each completed sale made through your store. Commission rates are not flat across the Platform, they vary by product/store category, starting from 8%. Any commission figure shown in Omega Mart's general marketing materials (e.g., "8% commission") refers to this starting/average rate, not a rate guaranteed for every category. The applicable commission rate for your specific category is shown in your Vendor dashboard and/or communicated to you at the time of onboarding.
- Omega Mart reserves the right to update commission rates from time to time. Any change will be communicated to Vendors in advance and will apply prospectively to new orders, not to orders already completed.
- Commission is deducted automatically from the order value before payout; you will receive an itemized breakdown in your Vendor dashboard for each order.
4. Order Fulfilment
- You are responsible for fulfilling orders accurately and shipping every confirmed order within 2 to 7 days of the order being placed, depending on whether the item is ready-made or made-to-order. This is a firm requirement, not a target, the specific expected timeline shown on your product listing should reflect what you can realistically deliver.
- Failure to ship within the 2 to 7 day window is treated as a fulfilment breach and is subject to the enforcement process in Section 8 (warning, 7-day temporary suspension, permanent ban).
- Once an order is confirmed, you must update its status (processing, shipped, etc.) promptly in the Vendor dashboard so Buyers and Omega Mart have accurate visibility.
- If you are unable to fulfil an order (e.g., due to stock unavailability), you must cancel it promptly through the dashboard and update your stock levels, repeated stock inaccuracies may affect your Vendor standing (see Section 8).
- Products must match their listing description, images, and specifications. Buyers are entitled to inspect the product in front of the delivery rider before accepting it (see Section 5), and to return it within the window set out in Omega Mart's Return, Refund and Exchange Policy if it does not match the listing or arrives damaged/defective.
5. Delivery Inspection and Returns
- Omega Mart operates a check-before-accepting model: Buyers may inspect products in front of the delivery rider and refuse acceptance on the spot if the item is wrong, damaged, or defective. Buyers may also request a return within the window defined in Omega Mart's Return, Refund and Exchange Policy (currently: instant refusal at delivery, or within 3 days of delivery for post-delivery issues).
- Where a return is approved due to a Vendor-side issue (wrong item sent, item not as described, defective/damaged item not caused by the courier), you are responsible for accepting the returned item and the corresponding refund will be processed to the Buyer, with the commission on that order reversed accordingly.
- Return shipping costs are assessed by Omega Mart on a case-by-case basis depending on the cause of the return; where the return is due to a Vendor error, the cost may be charged back to you.
- Full details are set out in Omega Mart's Return, Refund and Exchange Policy and Buyer's Protection Policy, which are incorporated into these Vendor Terms.
6. Payments and Payouts
- Payouts are processed weekly, via bKash or bank transfer, based on the payout details you provide in your Vendor dashboard.
- Alternatively, you may request an on-demand payout once your available balance reaches the minimum withdrawal threshold of ৳500 (500 BDT).
- Payout amounts reflect completed, non-disputed orders minus applicable commission and any approved return/refund deductions.
- You are responsible for the accuracy of your payout account details (bKash number / bank account). Omega Mart is not liable for payouts sent to incorrect details provided by you.
- Omega Mart may withhold or delay payout for orders under active dispute, fraud investigation, or Buyer complaint pending resolution.
7. Vendor Conduct
You agree that you will not:
- Contact Buyers to solicit off-platform transactions to avoid commission fees.
- Manipulate reviews, ratings, or order data.
- Use Buyer personal information obtained through an order for any purpose other than fulfilling that specific order (see our Privacy Policy).
- Engage in abusive, discriminatory, or fraudulent conduct toward Buyers, delivery personnel, or Omega Mart staff.
- List products you do not have the legal right or authorization to sell.
8. Performance Standards and Enforcement
Omega Mart monitors Vendor performance, including order cancellation rates, delivery accuracy, product quality complaints, and Buyer disputes.
Where a Vendor repeatedly receives valid complaints, fails to ship confirmed orders within the required 2 to 7 day window, fails to fulfil confirmed orders at all, or otherwise breaches these Vendor Terms, Omega Mart will apply the following enforcement process:
- Warning: You will receive a formal warning identifying the issue.
- Temporary suspension: If the issue persists or recurs, your store will be temporarily suspended for 7 days, during which your listings will be hidden and new orders will not be accepted.
- Permanent ban: If the issue continues after the suspension period, or in cases of serious misconduct (fraud, counterfeit goods, repeated non-delivery), Omega Mart may permanently terminate your Vendor account.
Omega Mart reserves the right to skip directly to suspension or permanent ban, without a prior warning, in cases of serious violations, including fraud, sale of prohibited/counterfeit items, or conduct that causes harm to Buyers or the Platform's reputation.
Any balance owed to you at the time of suspension or termination will be settled after deduction of any amounts owed to Omega Mart or Buyers arising from unresolved disputes, less applicable commission.
9. Taxes
You are solely responsible for determining, collecting (where applicable), and remitting any taxes (including VAT, income tax, or other applicable levies under Bangladeshi law) arising from your sales on the Platform. Omega Mart does not act as your tax agent.
10. Intellectual Property
- You retain ownership of your brand, product content, and store materials, but grant Omega Mart a non-exclusive license to display, reproduce, and promote this content on the Platform (and in related marketing) for the purpose of operating the marketplace.
- You warrant that you own or are authorized to use all content, trademarks, and product information you upload, and that it does not infringe any third party's rights.
11. Termination
- You may close your Vendor store at any time by notifying Omega Mart, subject to fulfilling any pending orders and settlement of any outstanding balances or disputes.
- Omega Mart may suspend or terminate your Vendor account as described in Section 8, or for any material breach of these Vendor Terms, our general Terms and Conditions, or applicable law.
12. Limitation of Liability
To the maximum extent permitted under Bangladeshi law, Omega Mart's liability to you arising from your use of the Platform as a Vendor is limited to the unpaid commission-adjusted balance owed to you at the time the claim arises. Omega Mart is not liable for indirect or consequential losses, including loss of profits or business opportunity.
13. Governing Law and Disputes
These Vendor Terms are governed by the laws of the People's Republic of Bangladesh. Disputes should first be raised with Omega Mart support (support@omegamartbd.com) for resolution; unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
14. Changes to These Vendor Terms
Omega Mart may revise these Vendor Terms from time to time. Material changes (e.g., to commission structure or payout terms) will be communicated to active Vendors in advance via email or dashboard notice. Continued use of your Vendor account after changes take effect constitutes acceptance.
